By-Laws
The Corporate By-Laws document is the key document that defines the rules of operation of the Corporation. The document goes on for some 34 pages and is too complex to explain in great detail in a short essay. But, here are some of the key points from the By-Laws.

¨     Tropical Isles will be a 55 Years of Age and Older Community
¨     Membership and voting rights are defined
¨     Voting eligibility, procedures, proxies, etc. are defined
¨     Requirements for Meetings of the Membership including the Annual Meeting for the purpose of electing Directors and the transaction of other authorized business are stated.
¨     Defines Special Meetings of the membership
¨     Defines the place and form for the retention of the Minutes of Meetings of the Members
¨     Defines the entire process for the election of Directors
¨     Defines the place and form for the retention of the Minutes of Meetings of the Board of Directors
¨     Authorizes the Board to elect from among its members an Executive Committee
¨     Empowers the Board of Directors to designate Committees
¨     Defines how corporate funds are to me handled including records, accounts, reserve funds, budgets, etc.
¨     Defines the process to amend the Articles of Incorporation
¨     Defines the process to amend the By-Laws
